Januar 2017 Realit\u00e4t geworden.<\/strong> Dass ein Automatischer Informationsaustausch r\u00fcckwirkend angewendet werden sollte, ist uns nicht bekannt. <strong>Seit dem 1. Januar 2017 sammeln Schweizer Banken systematisch die Bankdaten von Kunden, die in den 38 Vertragsstaaten (OECD CRS L\u00e4nder) ihren steuerlichen Wohnsitz haben.<\/strong> Das inl\u00e4ndische Bankgeheimnis gilt noch. Die Schweizer wollen es im Inland nicht abschaffen. Diese Daten sollen im September 2018 das erste Mal mit 38 Staaten ausgetauscht werden. Ein Automatischer Informationsaustausch 2018 kann nicht mehr r\u00fcckg\u00e4ngig gemacht werden. Er kann h\u00f6chstens noch verz\u00f6gert werden.<\/p>\n<p><strong style=\"font-size: 120%; color: #fe000e;\">&#8222;Ein erster Automatischer Informationsaustausch mit Daten gem\u00e4ss OECD CRS L\u00e4nder aus der Schweiz erfolgt im September 2018 mit 38 Staaten.&#8220;<\/strong><\/p>\n<p>(Stand Automatischer Informationsaustausch L\u00e4nderliste: Januar 2018)<\/p>\n<p>Das Schweizer Parlament hat im Dezember 2017 beschlossen, mit weiteren 41 OECD L\u00e4nder zu kooperieren. Die <a href=\"https:\/\/swiss-banking-lawyers.com\/de\/privatbanken-schweiz\/\">Schweizer Banken<\/a> werden ab dem 1. Januar 2018 bez\u00fcglich <strong>weitere 41 Staaten<\/strong>, darunter auch Hong Kong und Singapur, Kontoinformationen sammeln. Diese werden zum ersten Mal im <strong>September 2019<\/strong> ausgetauscht werden. September 2019 zum ersten Mal ausgetauscht.<\/p>\n<p><strong>*3<\/strong> Diese Staaten erf\u00fcllen nicht die Anforderungen des AIA und haben die Einf\u00fchrung des AIA verschoben.<\/p>\n<p><strong>*4<\/strong> Diese Staaten haben sich zu &#8222;st\u00e4ndigen nicht-reziproken L\u00e4ndern&#8220; erkl\u00e4rt. Sie werden Kontoinformationen auf lange Sicht bereitstellen, aber sie werden selbst keine Daten erhalten.<\/p>\n<p><strong>*5<\/strong> Das bilaterale AIA-Abkommen mit der EU gilt f\u00fcr alle 28 EU-L\u00e4nder und die AIA-Berichterstattung gilt auch f\u00fcr die Azoren, Franz\u00f6sisch-Guayana, Gibraltar, Guadeloupe, die Kanarischen Inseln, Madeira, Martinique, Mayotte, La R\u00e9union und Saint Martin.<\/p>\n<p><strong>*6<\/strong> Die Schweiz hat bilaterale Abkommen mit Hongkong und Singapur zur Einf\u00fchrung des AIA f\u00fcr 2018\/2019 unterzeichnet. Das Parlament muss noch \u00fcber die Genehmigung der Vereinbarungen von 2018 debattieren.<\/p>\n<p><strong>*7<\/strong> Diese Staaten haben ihre Meldungen noch nicht abgegeben. Die Aktivierung des AIA erfolgt daher zu einem sp\u00e4teren Zeitpunkt.<\/p>\n<p><strong>*8.<\/strong> Diese Staaten m\u00fcssen einen Aktionsplan entwickeln, der die Vertraulichkeit und den Datenschutz gew\u00e4hrleistet. Kein Datenaustausch wird vorher stattfinden. Die Eidgen\u00f6ssische Steuerverwaltung wird Informationen nur unter Einhaltung eines zufriedenstellenden Datenschutzplans austauschen.<\/p>\n<p><strong>*9.<\/strong> Zypern und Rum\u00e4nien m\u00fcssen einen Plan f\u00fcr ausreichende Vertraulichkeit und Datenschutz umsetzen. Das Ziel der OECD ist: ein Automatischer Informationsaustausch soll die <strong>Steuerhinterziehung international bek\u00e4mpfen<\/strong>.<\/p>\n<p>Mit der Einf\u00fchrung des <strong>Common Reporting Standard (CRS)<\/strong> hat die OECD allen Banken der Signatarstaaten befohlen, alle Kunden auszuspionieren. Die spionierende Bank soll <strong>vertrauliche Daten der eigenen Kunden erheben<\/strong> und nach dem einheitlich definierten CRS der Steuerbeh\u00f6rde im eigenen Land automatisch und periodisch melden. Signatarstaaten sind diejenigen Staaten, die die Staatsverstr\u00e4ge \u00fcber ein Automatischer Informationsaustausch unterzeichnet haben. Die OECD nennt in ihrem Sprachgebrauch diese Signatarstaaten auch <strong>\u201ePartnerstaaten\u201c<\/strong>.<\/p>\n<p><strong>Automatischer Informationsaustausch ist ein j\u00e4hrliches Reporting von Kontodaten an das Finanzamt am Wohnsitz des Bankkunden.<\/strong><\/p>\n<p>Die nach CRS definierten Daten werden mittels einer IT-Plattform erfasst zwecks j\u00e4hrlicher Weiterleitung in automatisierter Form. Wenn Sie ein <strong>Bankkonto ausserhalb Ihres Wohnsitzlandes<\/strong> f\u00fchren, dann leitet Ihre Bank im Ausland diese Daten j\u00e4hrlich an das Finanzamt an Ihrem Wohnsitz weiter.<\/p>\n<p><strong id=\"3.2\" style=\"font-size: 140%;\">3.2 FATCA als Vorbild f\u00fcr die OECD<\/strong><br \/>\nDie OECD st\u00fctzt sich mit dem CRS auf ein \u00e4hnliches Datenformat wie das US-Steuerprogramm mit FATCA (Foreign Account Tax Compliance Act). Jedes Land und jede Bank wird den OECD CRS anders interpretieren und umsetzen. Wie gesagt, es kommt darauf an, wie die jeweilige Bank den Sachverhalt auslegt und qualifiziert.<\/p>\n<p><strong id=\"4.2\" style=\"font-size: 140%;\">4.2 Die operative Gesellschaft mit einer Betriebsst\u00e4tte mit \u201eaktiven Einnahmen\u201c<\/strong><br \/>\nEine andere wichtige Ausnahme bilden Konten von ausl\u00e4ndischen Gesellschaften, die einen nach kaufm\u00e4nnischer Art gef\u00fchrten Betrieb f\u00fchren und nach Legaldefinition der OECD <strong>\u201eaktive Einnahmen\u201c<\/strong> aus einem <strong>operativen Gesch\u00e4ftsbetrieb<\/strong> erzielen. Briefkastenfirmen fallen garantiert nicht darunter.<\/p>\n<p><strong>Auch hier gilt:<\/strong><br \/>\nLetztendlich ist es Ihre Bank im Ausland, die entscheidet, wie streng diese Regeln in der Praxis ausgelegt und vor allem umgesetzt werden.<\/p>\n<p><strong id=\"4.3\" style=\"font-size: 140%;\">4.3 OECD Auslegeregelung f\u00fcr den Zweifelsfall: keine aktiven Einnahmen<\/strong><br \/>\nDie <strong>OECD Staaten<\/strong> haben aber bereits eine <strong>Regelung f\u00fcr Zweifelsf\u00e4lle<\/strong> aufgestellt. Anstatt den r\u00f6misch-rechtlichen Grundsatz f\u00fcr die L\u00f6sung von Zweifelsf\u00e4llen (im Zweifel die mildere L\u00f6sung, lat. in dubio mitius) zu befolgen, hat sich die OECD f\u00fcr das Gegenteil entschieden. Im Zweifelsfall muss von <strong>passiven Einnahmen<\/strong> ausgegangen werden. Die Daten werden im Zweifelsfall weitergeleitet. Im Zweifelsfall muss die ausl\u00e4ndische Bank \u2013 ganz nach OECD Auslegung \u2013 nicht f\u00fcr die mildere, sondern f\u00fcr die strengere L\u00f6sung entscheiden. Diese OECD <strong>Auslegungsmaxime<\/strong> steht in diametralem Widerspruch zu einer r\u00f6misch-rechtlichen Regelung f\u00fcr Zweifelsf\u00e4lle, die sich in den letzten 2000 Jahren bew\u00e4hrt hat. Diese aktive Gesellschaft muss im Domizilstaat auch Kunden haben, die im Domizilstaat ans\u00e4ssig sind. Sie braucht vor allem <strong>\u201eSubstanz\u201c<\/strong>. Substanz im internationalen Steuerrecht bedeutet, dass schriftliche Mietvertr\u00e4ge \u00fcber R\u00e4umlichkeiten vorliegen, Mitarbeiter besch\u00e4ftigt werden, die Sozialabgaben leisten. Unterlagen betreffend <strong>Sozialabgaben, Miet- und Arbeitsverh\u00e4ltnisse<\/strong> lassen sich als <strong>vorz\u00fcgliche Beweismittel<\/strong> verwenden. Damit k\u00f6nnen Sie ohne Not den Beweis f\u00fcr die operative T\u00e4tigkeit der aktiven Gesellschaft antreten.<\/p>\n<p><strong>Important Alert:<\/strong><br \/>\n<strong style=\"font-size: 120%; color: #fe000e;\">\u201eDie Bank im Ausland muss zweifelslos \u00fcberzeugt sein, dass das Konto einer aktiven Gesellschaft geh\u00f6rt. Vielmehr handelt es sich hier um die \u00fcblichen Merkmale, wie in der Praxis des internationalen Steuerrechts der Charakter einer <strong>Betriebsst\u00e4tte<\/strong> definiert wird. Im englischen Sprachraum spricht man von \u201eEstablishment\u201c (Betriebsst\u00e4tte).<\/p>\n<p>Nur wenn Sie die erw\u00e4hnten Voraussetzungen mit Ihrer Firma erf\u00fcllen, k\u00f6nnen Sie es <strong>mit jedem Finanzamt und jeder Bank auf der Welt aufnehmen<\/strong>. Niemand kann bei Vorliegen obiger Voraussetzungen den Betriebsst\u00e4tten-Charakter und somit das Vorliegen einer aktiven juristischen Person bestreiten (Active NFE).<\/p>\n<p>Wenn Sie eine operative Firma aufbauen wollen, dann m\u00fcssen Sie es richtig machen. Im Zweifelsfalle wird die Bank ihre Gesellschaft als <strong>\u201epassive NFE\u201c<\/strong> einstufen und die Kontodaten melden. Ein Automatischer Informationsaustausch ist vorprogrammiert. Banken vermeiden Risiken. In einer heiklen Situation ist die Bank nicht mehr Ihr Freund und Helfer, sondern sie funktioniert wie eine Polizeistation, die Sie ausspioniert. Die Bank will Ihre Banklizenz nicht verlieren und wurde vom Staat als Spion f\u00fcr das Steueramt angeheuert. Gehen Sie deshalb davon aus, dass die ausl\u00e4ndische Bank zuerst mit <strong>Facts &amp; Figures<\/strong> \u00fcberzeugt werden muss, bevor sie Ihre Firma als <strong>\u201eactive NFE\u201c<\/strong> qualifizieren wird. Sie wird sich bei der Qualifikation Ihrer Gesellschaft als <strong>\u201eactive NFE\u201c<\/strong> eher streng verhalten. Gehen Sie nicht von einem kulanten Verhalten der Bank aus. So gehen Sie sicher b\u00f6sen \u00dcberraschungen aus dem Weg.<\/p>\n<p><strong>Wieso ist es immer mit Problemen verbunden, wenn Kontodaten meiner Firma an das Finanzamt gelangen? Wieso gibt es auch dann Probleme, wenn ich alle Steuern bezahlt habe?<\/strong><\/p>\n<p>Wenn Ihr Finanzamt von einem ausl\u00e4ndischen Finanzamt mit Daten einer ausl\u00e4ndischen Bank gef\u00fcttert wird, schaut die Datenweitergabe wie ein Tipp ans Finanzamt aus. Es sieht aus, wie wenn ein Land internationale Rechtshilfe an einem andern Land leistet. Mit der Datenweitergabe wird auch der ungute Beigeschmack weitergegeben, dass irgendetwas nicht stimmt.<\/p>\n<p>Wie wir gesehen haben, berichtet die Bank nicht nur \u00fcber Ihre Kontodaten, sondern <strong>die Bank im Ausland meldet<\/strong>, dass im Ausland eine <strong>passive Gesellschaft<\/strong> existiert, die nat\u00fcrlich auch passive Eink\u00fcnfte erzielt. Das riecht stark nach eventueller Steuerhinterziehung. Ab sofort haben wir bei Ihrem Finanzamt Verdachtssituation. Es ist ein Generalverdacht entstanden.<\/p>\n<p>Anders als eine betrogene Ehefrau, hat der <strong>Bericht einer ausl\u00e4ndischen Bank<\/strong> objektiv ein <strong>sehr hohes Gewicht<\/strong>. In vielen F\u00e4llen gen\u00fcgt bereits ein Anruf einer betrogenen Ehefrau, um ein Krisensituation im Leben auszul\u00f6sen, inklusive Anzeige, Hausdurchsuchung und strafrechtliche Ermittlungen. Was geschieht erst, wenn eine qualifizierte Meldung von einer Bank aus dem Ausland beim Finanzamt eintrifft?<\/p>\n<p>Selbstverst\u00e4ndlich gehen wir davon aus, dass Sie die Gr\u00fcndung einer Auslandgesellschaft Ihrem Finanzamt melden und alle einkassierten Dividenden auch zu Hause versteuern. Ohne Zweifel wollen immer Sie diejenige Person sein, welche das Steuerruder fest in den H\u00e4nden h\u00e4lt. Sie wollen aktiv Meldungen machen. <strong>Sie wollen die Kommunikation mit den Beh\u00f6rden steuern<\/strong> und im schlimmsten Falle wenige Zusatzfragen beantworten. Aufgrund der strengen Vorschriften zur Bek\u00e4mpfung der Geldw\u00e4sche, wird sich ein Treuh\u00e4nder weigern, f\u00fcr Sie zu l\u00fcgen. Er wird sich nie an Ihrer Stelle als wirtschaftlich berechtigte Person gegen\u00fcber den Banken ausgeben. Kein professioneller Trustee oder Stiftungsrat wird es wagen, den wirtschaftlichen Berechtigten Anonymit\u00e4t zu offerieren.<\/p>\n<p>Hingegen sind Stiftungen und Trusts unter der Leitung von Einzelpersonen, die nicht in Finanzprodukte investieren und nur Immobilien halten oder operative T\u00e4tigkeiten ausf\u00fchren, unter gewissen Umst\u00e4nden nicht dem Automatischen Informationsaustausch unterworfen. Gem\u00e4\u00df Darstellung des Kunden haben Angestellte dieser Firma dem Steuerhinterzieher eine Bank auf den Komoren empfohlen, wo er seine 750\u2018000 EUR auch hinschickte.<\/p>\n<p>Nach den ersten Paar Anrufen auf Telefonnummern, die uns der Kunde zur Verf\u00fcgung stellte, wechselten sich russische Telefonistinnen st\u00e4ndig ab. Warum beantworten bei Banken auf den Komoren russische Telefonistinnen die Telefonanrufe, fragten wir uns. Pl\u00f6tzlich funktionierte der ganze Telefonbetrieb nicht mehr. Die <strong>Ansprechpersonen, das Konto und die Bank<\/strong> hatten sich allesamt <strong>in Luft aufgel\u00f6st<\/strong>.<\/p>\n<p>Wir vermuten, dass die Betr\u00fcger unseres Kunden einen Callcenter aus Russland engagiert hatten. Die Telefonistinnen waren vermutlich beauftragt, sich als Bankmitarbeiterinnen auszugeben. Weitere Abkl\u00e4rungen hatten ergeben, dass auf den Komoren gar keine Banken f\u00fcr ausl\u00e4ndische Privatkunden existieren. Auf den Komoren gibt es nur eine einzige Bank. Diese geh\u00f6rt der Regierung. Versuche mit Einschreiben an die Regierung der Komoren blieben <strong>unbeantwortet<\/strong>.<\/p>\n<p>Wir haben mit dem Kunden m\u00f6gliche Strategien besprochen, um gegen die Firma in Genf, die SFM Corporate Services AG rechtlich vorzugehen. Gem\u00e4ss Instruktion des Kunden hatte diese Firma in Genf die \u201eBank\u201c auf den Komoren zur Kontoer\u00f6ffnung empfohlen. Der Compliance Officer der Firma in Genf bestritt, diese Bank empfohlen zu haben. Er hatte aber Verst\u00e4ndnis, dass wir uns f\u00fcr den Kunden einsetzten. Der Compliance Officer half uns mit seinen internen Abkl\u00e4rungen. Auch er wollte der Sache auf dem Grund gehen und in Erfahrung bringen, wie es zu dieser Empfehlung kommen konnte. Selbst die <strong>Direktorin der SFM Corporate Services AG<\/strong> setzte sich f\u00fcr uns ein. Alle Abkl\u00e4rungen blieben leider ohne Erfolg.<\/p>\n<p>Aufgrund der <strong>Schwarzgeldsituation<\/strong> machte der Kunde einen Kurswechsel. Er wollte keine rechtlichen Schritte mehr einleiten. Er wollte auch keinen Druck auf die Firma in Genf mehr aus\u00fcben. In einem rechtlichen Verfahren muss man sich exponieren und Risiken eingehen. Darum hat sich der Kunde entschlossen, sein <strong>Schwarzgeld definitiv abzuschreiben<\/strong>. Trotzdem haben wir ihn auf die geplante Selbstanzeige angesprochen. Er wollte davon nichts wissen. Er hat den Kontakt mit uns definitiv abgebrochen. Ein Jahr sp\u00e4ter sind wir in Zusammenhang mit einem andern Fall wieder auf eine der russischen Telefonistinnen gesto\u00dfen. Sie sagte uns, dass sie f\u00fcr eine <strong>Bank in Litauen<\/strong> t\u00e4tig sei.
